IMPORTANT: PLEASE READ THIS END-USER LICENSE AGREEMENT ("AGREEMENT") CAREFULLY BEFORE DOWNLOADING, INSTALLING, OR USING THE HOME GUILD OR HOME GUILD PRO MOBILE APPLICATIONS. BY DOWNLOADING, INSTALLING, OR USING THE APPLICATION, YOU AGREE TO BE BOUND BY THE TERMS OF THIS AGREEMENT. IF YOU DO NOT AGREE TO THE TERMS OF THIS AGREEMENT, DO NOT DOWNLOAD, INSTALL, OR USE THE APPLICATION.

1. ACKNOWLEDGMENT AND ACCEPTANCE

1.1 Agreement Between Parties

This End-User License Agreement ("Agreement" or "EULA") is a legal agreement between you ("User," "you," or "your") and Home Guild LLC, a Delaware limited liability company ("Home Guild," "we," "us," or "our"), for the use of the Home Guild and Home Guild Pro mobile applications (individually and collectively, the "Application" or "App") and related services.

Apple App Store Acknowledgment: You and Home Guild acknowledge that this EULA is concluded between you and Home Guild only, and not with Apple Inc. ("Apple"). Home Guild, not Apple, is solely responsible for the Application and its content. This EULA does not provide for usage rules that conflict with the Apple Media Services Terms and Conditions.

2. DEFINITIONS

  • "Application" means the Home Guild mobile application for clients and the Home Guild Pro mobile application for service professionals, including all updates, modifications, and enhancements.
  • "Client" means an individual or entity seeking home services through the Application.
  • "Professional" or "Pro" means a licensed or qualified service provider offering home services through the Application.
  • "Platform" means the Home Guild technology platform, including the Applications, website, and related services.
  • "Services" means the software services, features, and functionality provided through the Application.
  • "User Content" means any content, data, information, text, graphics, photos, or other materials uploaded, posted, or transmitted by users.

3. SCOPE OF LICENSE

3.1 License Grant

Subject to the terms of this Agreement, Home Guild grants you a limited, non-exclusive, non-transferable, revocable license to download, install, and use the Application on Apple-branded devices that you own or control, solely for your personal or business use in accordance with this Agreement and Apple's Usage Rules.

3.2 License Restrictions

You may NOT:

  • Copy, modify, adapt, translate, or create derivative works of the Application
  • Reverse engineer, disassemble, decompile, or attempt to derive the source code
  • Distribute, license, loan, sell, or otherwise transfer the Application
  • Remove, alter, or obscure any proprietary notices
  • Use the Application for any unlawful purpose or in violation of this Agreement
  • Access or use the Application to build a competitive product or service
  • Use automated systems to access or interact with the Application

3.3 Family Sharing and Volume Purchasing

The Application may be accessed and used by other accounts associated with your purchase via Apple's Family Sharing or volume purchasing programs, subject to Apple's terms and conditions.

4. SUBSCRIPTION SERVICES

4.1 Pro Subscription

The Home Guild Pro Application requires a paid subscription to access full functionality. Subscription terms, pricing, and billing are managed through:

  • Apple's in-app purchase system for iOS users
  • Google Play billing for Android users
  • Stripe payment processing for web-based subscriptions

4.2 Cross-Platform Access

Once subscribed, you may use the Application across multiple platforms (iOS, Android, web) within your agreed subscription level and user limits.

4.3 Client Application

The Home Guild client application is provided free of charge to homeowners and clients seeking services.

5. USER RESPONSIBILITIES AND CONDUCT

5.1 Account Security

You are responsible for maintaining the confidentiality of your account credentials and for all activities under your account.

5.2 Accurate Information

You agree to provide accurate, current, and complete information and to maintain and update such information.

5.3 Professional Responsibilities

If you are a Professional user, you represent and warrant that you:

  • Hold all necessary licenses, permits, and insurance required for your services
  • Will comply with all applicable laws, regulations, and industry standards
  • Will provide services in a professional and workmanlike manner
  • Are solely responsible for your legal compliance and licensing requirements

5.4 Prohibited Conduct

You agree NOT to:

  • Violate any applicable laws or regulations
  • Infringe upon intellectual property rights
  • Transmit harmful, threatening, or inappropriate content
  • Engage in fraudulent or deceptive practices
  • Harass, abuse, or harm other users
  • Circumvent security measures or access restrictions
  • Use the Platform to compete with Home Guild's services

6. USER CONTENT AND DATA

6.1 User Content License

You retain ownership of User Content you submit. By submitting User Content, you grant Home Guild a worldwide, non-exclusive, royalty-free license to use, display, reproduce, and distribute such content in connection with the Services.

6.2 Content Standards

User Content must not violate any laws, infringe rights, or contain inappropriate material. Home Guild reserves the right to remove content that violates this Agreement.

6.3 Location Data

The Application collects location information to provide job site navigation and matching services. By using location features, you consent to the collection and use of location data as described in our Privacy Policy.

6.4 Data Policy

Your privacy and data rights are governed by our Privacy Policy (https://homeguild.app/privacy-policy) and Data Policy (https://homeguild.app/data-policy), which are incorporated by reference.

7. THIRD-PARTY SERVICES

7.1 Integration Services

The Application integrates with third-party services including payment processors, background check providers, and other business services. Your use of these services is subject to their respective terms and conditions.

7.2 Compliance with Third-Party Terms

You must comply with all applicable third-party terms when using the Application, including but not limited to wireless data service agreements and payment processing terms.

8. VERIFICATION AND BACKGROUND CHECKS

8.1 Professional Verification

Home Guild may, at its sole discretion, conduct verification processes for Professionals, which may include background checks, license verification, and other screening measures.

8.2 No Guarantee

Verification does not constitute an endorsement, guarantee, or warranty of any Professional's qualifications, work quality, or reliability. Clients engage Professionals at their own risk.

9. PAYMENT PROCESSING

9.1 Payment Services

Home Guild provides integrated payment processing services. All payment transactions are subject to our payment terms and the terms of our payment processing partners.

9.2 Transaction Fees

Payment processing fees may apply to transactions as disclosed in the Application and on our website.

10. MAINTENANCE AND SUPPORT

10.1 Home Guild Responsibility

Home Guild is solely responsible for providing maintenance and support services for the Application as specified in this Agreement or required by law.

Apple Support Disclaimer: You and Home Guild acknowledge that Apple has no obligation to furnish any maintenance and support services with respect to the Application.

10.2 Internet Connectivity

The Application requires a constant internet connection to function properly. You are responsible for maintaining adequate internet connectivity.

11. WARRANTIES AND DISCLAIMERS

11.1 Limited Warranty

Home Guild warrants that the Application will perform substantially in accordance with its documentation under normal use.

11.2 Disclaimer of Warranties

EXCEPT AS EXPRESSLY SET FORTH HEREIN, THE APPLICATION IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND. HOME GUILD DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

Apple Warranty Terms: In the event the Application fails to conform to any applicable warranty, you may notify Apple, and Apple will refund the purchase price. To the maximum extent permitted by law, Apple will have no other warranty obligation, and any other claims will be Home Guild's sole responsibility.

11.3 Service Disclaimer

HOME GUILD IS A TECHNOLOGY PLATFORM AND DOES NOT PROVIDE HOME SERVICES. WE DO NOT WARRANT THE QUALITY, SAFETY, OR LEGALITY OF SERVICES PROVIDED BY PROFESSIONALS.

12. LIMITATION OF LIABILITY

12.1 Liability Limitations

TO THE MAXIMUM EXTENT PERMITTED BY LAW, HOME GUILD SHALL NOT BE LIABLE FOR:

  • INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES
  • LOSS OF PROFITS, DATA, OR BUSINESS OPPORTUNITIES
  • DAMAGES RESULTING FROM THIRD-PARTY SERVICES OR PROFESSIONAL SERVICES
  • DAMAGES EXCEEDING THE AMOUNT PAID BY YOU IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM

12.2 Professional Service Liability

HOME GUILD IS NOT LIABLE FOR ANY CLAIMS ARISING FROM SERVICES PROVIDED BY PROFESSIONALS, INCLUDING PROPERTY DAMAGE, PERSONAL INJURY, OR POOR WORKMANSHIP.

13. INDEMNIFICATION

You agree to indemnify and hold harmless Home Guild from claims arising from:

  • Your use of the Application
  • Your User Content
  • Your violation of this Agreement
  • Services provided by or to you through the Platform
  • Your violation of any law or third-party rights

14. INTELLECTUAL PROPERTY

14.1 Home Guild Property

The Application and all intellectual property rights therein are owned by Home Guild or its licensors.

IP Infringement Claims: You and Home Guild acknowledge that Home Guild, not Apple, is responsible for investigating, defending, settling, and discharging any intellectual property infringement claims related to the Application.

15. DISPUTE RESOLUTION

15.1 Governing Law

This Agreement is governed by Delaware law, without regard to conflict of law principles.

15.2 Mandatory Arbitration

Any dispute arising from this Agreement shall be resolved through binding arbitration administered by the American Arbitration Association under its Commercial Rules, conducted in Virginia.

15.3 Class Action Waiver

You waive any right to participate in class action lawsuits or class-wide arbitration.

16. TERMINATION

16.1 Termination Rights

Either party may terminate this Agreement at any time. Home Guild may suspend or terminate your access immediately for violations of this Agreement.

16.2 Effect of Termination

Upon termination, your license to use the Application ends immediately. You may request data deletion as outlined in our Data Policy.

17. COMPLIANCE AND LEGAL REQUIREMENTS

17.1 User Representations

You represent and warrant that:

  • You are not located in a country subject to U.S. Government embargo
  • You are not listed on any U.S. Government prohibited or restricted parties list
  • Your use of the Application complies with all applicable laws

17.2 Export Controls

The Application may be subject to U.S. export control laws. You agree to comply with all applicable export and import laws.

18. APPLE-SPECIFIC TERMS

18.1 Third-Party Beneficiary

You and Home Guild acknowledge that Apple and Apple's subsidiaries are third-party beneficiaries of this EULA. Upon your acceptance of this Agreement, Apple has the right to enforce this EULA against you as a third-party beneficiary.

18.2 Product Claims

You and Home Guild acknowledge that Home Guild, not Apple, is responsible for addressing any claims relating to the Application, including:

  • Product liability claims
  • Claims that the Application fails to conform to legal requirements
  • Claims under consumer protection or privacy legislation

19. GENERAL PROVISIONS

19.1 Entire Agreement

This Agreement, together with our Privacy Policy and Data Policy, constitutes the entire agreement between you and Home Guild.

19.2 Amendments

Home Guild may modify this Agreement by posting updates on our website. Continued use constitutes acceptance of modifications.

19.3 Severability

If any provision is found unenforceable, the remainder of the Agreement remains in effect.

19.4 Assignment

You may not assign this Agreement. Home Guild may assign this Agreement without restriction.

ACKNOWLEDGMENT: BY DOWNLOADING, INSTALLING, OR USING THE APPLICATION, YOU ACKNOWLEDGE THAT YOU HAVE READ, UNDERSTOOD, AND AGREE TO BE BOUND BY THIS AGREEMENT.
